Welcome to CURATEO. These Terms of Service ("Terms") govern your use of the CURATEO platform provided by CURATEO ("we", "our", or "us").

By accessing or using CURATEO, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use CURATEO.

You acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using CURATEO on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on CURATEO and updating the "Last Updated" date. Your continued use of CURATEO after changes constitutes acceptance of the new Terms.

User Accounts

Registration

To use certain features of CURATEO, you may need to create an account. You agree to:

Account Types

CURATEO offers two types of accounts:

• Artist accounts: For artists who wish to showcase their work and find exhibition opportunities
• Exhibitor accounts: For individuals or organizations seeking art for their spaces

Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

User Conduct

You agree not to use CURATEO to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property or other rights of others
• Distribute harmful, offensive, or inappropriate content
• Post false or misleading information about artworks or spaces
• Attempt to gain unauthorized access to CURATEO
• Interfere with or disrupt CURATEO
• Transmit viruses or malicious code
• Use CURATEO for spam or unsolicited communications
• Engage in any conduct that restricts or inhibits anyone's use of CURATEO

Artist Content

Artwork Listings

Artists who list artwork on CURATEO represent and warrant that:

• They are the rightful owner or have authorization to display the artwork
• The artwork does not infringe on any third party's intellectual property rights
• All information provided about the artwork is accurate and complete

License to Display

By listing artwork on CURATEO, artists grant us a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute images and descriptions of their artwork solely for the purpose of operating and promoting CURATEO.

Matching and Communication

Matching Service

CURATEO provides a matchmaking service to connect artists and exhibitors. We do not guarantee any specific outcomes, matches, or results.

Direct Communication

All negotiations, contracts, and transactions between artists and exhibitors are conducted directly between the parties. CURATEO is not a party to any agreement between users.

No Commission

Intellectual Property

Our Rights

All content, features, and functionality of CURATEO (excluding user-generated content) are owned by CURATEO and are protected by copyright, trademark, and other intellectual property laws.

Your Rights

You retain ownership of any content you submit to CURATEO. By submitting content, you grant us a license to use, modify, and display your content for the purpose of providing CURATEO.

CURATEO Trademark

"CURATEO" and our logo are trademarks of CURATEO. You may not use our trademarks without our prior written permission.

Third-Party Services

CURATEO may contain links to third-party websites or services. We are not responsible for the practices or content of third-party services.

The following third-party services may be integrated:

• Google Analytics (usage analytics)
• Social media platforms (sharing features)
• Email service providers (for notifications)

Fees and Payments

Waitlist Registration

Joining the CURATEO waitlist is free of charge.

Future Services

We may introduce premium features or paid services in the future. Any fees will be clearly communicated before you are charged.

Transactions Between Users

Any payments between artists and exhibitors are handled directly between those parties. CURATEO does not process payments on behalf of users.

Disclaimers

CURATEO is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We disclaim all warranties, express or implied, including:

• Warranties of merchantability
• Warranties of fitness for a particular purpose
• Warranties of non-infringement
• Warranties arising from course of dealing or usage of trade

We do not warrant that:

• CURATEO will be uninterrupted or error-free
• Any matches or connections will result in successful transactions
• The information on CURATEO is accurate or complete
• Defects will be corrected

Limitation of Liability

To the fullest extent permitted by law, CURATEO shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from your use of or inability to use CURATEO
• Damages arising from any transaction between users
• Damages exceeding the amount you paid to use CURATEO (if any)

Indemnification

You agree to indemnify and hold CURATEO harmless from any claims, damages, losses, and expenses arising from:

• Your use of CURATEO
• Your violation of these Terms
• Your violation of any rights of another
• Any content you submit to CURATEO
• Any transaction between you and another user

Termination

These Terms remain in effect until terminated by you or us.

• You may terminate these Terms by discontinuing use of CURATEO and deleting your account
• We may terminate these Terms at any time without notice

Upon termination, your right to use CURATEO will immediately cease. Provisions that by their nature should survive termination will survive.

Governing Law

These Terms are governed by the laws of Japan. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Tokyo, Japan.

Dispute Resolution

General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and CURATEO regarding CURATEO
• Severability: If any provision of these Terms is found invalid, the remaining provisions remain in full force
• Waiver: Failure to enforce any provision does not constitute a waiver
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for delays or failures caused by events beyond our control
